Live Event Rules - Nestlé Purina PetCare Company - Purina Pet Comedy Challenge

OFFICIAL CONTEST RULES – NO PURCHASE NECESSARY TO ENTER OR WIN

The Purina Pet Comedy Challenge ("Contest") starts February 24, 2008 and will end on or before May 31, 2008. Contest sponsored by Nestlé Purina PetCare Company, Checkerboard Square, St. Louis, MO 63164 ("Sponsor"), implemented by Kicking Cow Promotions, Inc., and administered by RMA, Inc., an independent judging organization.

ELIGIBILITY: Contest offered only in the 50 United States and the District of Columbia to legal residents of the U.S. who are 21 years of age or older at time of entry. Employees of Nestlé Purina PetCare Company, its parent companies, affiliates, subsidiaries, judging organizations and advertising, promotion and production agencies, including Kicking Cow Promotions and RMA, and their immediate families and persons living in the households of each are not eligible to enter. This Contest is subject to all federal, state and local laws and regulations. Void where prohibited or restricted by law.

HOW TO ENTER: NO PURCHASE IS NECESSARY TO ENTER OR WIN. To enter, visit any one of the four Host Comedy Clubs below, fill out an application for participation, and give it to the club manager prior to the "Enter By" date.

Club owners, managers, or club talent agents will audition each applicant and will select up to fifteen (15) individuals to perform their comedy routine at the Host Comedy Club on the Performance Date indicated above.

COMEDY ROUTINE REQUIREMENTS: Individuals selected for participation must prepare and present an original comedy routine adhering to the following criteria:

- routine must be no less than 5 minutes and no more than 7 minutes in length
- pet-inspired, such as dog and/or cat humor or pet owner-inspired humor
- must not describe animals in unsafe conditions
- no profane language or gestures
- overall tone should be clean, fun, and family-oriented

All participant comedy routines (performance and jokes) become the property of the Sponsor, which retains all rights including, but not limited to, any intellectual property rights, including copyrights, the right to copy, edit, modify, adapt, publish, and/or use any submissions in any way and in all media without limitation or further consideration.

JUDGING: A three person panel of judges, selected by the Sponsor or club manager, will judge each participant's comedy routine on the basis of: originality (30%), humor (30%), and relevance to "dog and/or cat-inspired" theme (40%). On the basis of this scoring, two winners and two runners up will be selected. In the event of a tie, winners will be selected based on an "overall crowd reaction" score.

PRIZES: The following Host Comedy Club prizes will be awarded -
First Prize: $1,000 cash and an opportunity to participate in the Pet Comedy Challenge Finals in St. Louis, Missouri, currently scheduled for May 3, 2008
Second Prize: $500 cash and an opportunity to participate in the Pet Comedy Challenge Finals in St. Louis, Missouri, currently scheduled for
Third and Fourth Prize: Participation in a vote competition, which will take place on the Internet beginning on April 1, 2008; the top two winners in the popular vote competition will have the opportunity to compete in the Pet Comedy Challenge Finals in St. Louis, Missouri, currently scheduled for May 3, 2008.

All winners who participate in the Pet Comedy Challenge Finals in St. Louis, MO will receive a travel and miscellaneous expenses allowance of $1,000 including hotel accommodations for two persons for two nights.

INTERNET POPULAR VOTE: The Third and Fourth Prize winners in each of the four regional competitions will have their routines filmed and edited to no more than two minutes. Editing will be done at the sole discretion of the Sponsor. These eight comedy routines will be posted at www.PetComedyChallenge.com where site visitors will be invited to vote for their favorite comedy routine over a three week period. Votes will be received starting on 4/1/08 until 4/22/08. Winners will be notified by phone on or around April 23, 2008 and must agree to travel to St. Louis, MO to participate in the final competition, currently scheduled for May 3, 2008.

POPULAR VOTE PRIZE: The two winners from the Internet popular vote will each receive: 1) an opportunity to compete in the Pet Comedy Challenge Finals in St. Louis, MO; 2) a travel and miscellaneous expenses allowance of $1,000 which includes hotel accommodations for two persons for two nights.

CHALLENGE FINALS: Ten individuals will participate in the Pet Comedy Challenge Finals in St. Louis, MO (the First and Second Prize winners from each of the four regional competitions, and the First and Second Place winners from the Internet popular vote competition). The regional competition winners may present their original routine, or a newly developed routine meeting the similar entry requirements as listed for the regional competitions, which are:

- routine must be no less than 7 minutes and no more than 10 minutes in length
- pet-inspired, such as dog and/or cat humor or pet owner-inspired humor
- must not describe animals in unsafe conditions
- no profane language or gestures
- overall tone should be clean, fun, and family-oriented

First Prize: $10,000 cash (one to be awarded)
Second Prize: $5,000 cash (one to be awarded)
Third Prize: $2,500 (one to be awarded)

AFFIDAVITS AND RELEASES: As a condition of being awarded a prize and competing in the Pet Comedy Challenge Finals in St. Louis, all regional and Internet winners will be required to execute, and deliver to Sponsor within 3 days of notification, a signed Affidavit of Eligibility, Publicity Release and Release of Liability. Except where prohibited by law, acceptance of any prize constitutes permission to use the winner's name, biographical information, likeness, and comedy routine for purposes of advertising and promotion in all media, including on-line worldwide, without limitation or further compensation.

RELEASES AND GENERAL CONDITIONS: By participating in this Contest, participants agree: (a) to be bound by these Official Contest Rules and the decisions of the Sponsor and RMA, which shall be final and binding, and (b) that the Sponsor, its parent companies, their respective officers, directors, agents, and employees are not responsible for and shall not be liable for: (1) any incorrect or inaccurate information associated with or utilized in the Contest; (2) any errors, omissions or deletions in any materials associated with the Contest; (3) illegible, incomplete, damaged, misdirected, late, lost, or unprocessed entries; (4) any condition caused by events beyond the control of the Sponsor which may cause the Contest to be disrupted or corrupted; or (5) any loss, injury or damage of any kind caused by participation in this Contest, or by the acceptance and/or use of any prize. Sponsor reserves the right, in its sole discretion, to modify, cancel, terminate, or suspend any portion of this Contest, including the Internet portion, should fraud, virus, bugs, unauthorized human intervention, systems malfunctions, failures or difficulties, or other causes beyond the control of the Sponsor and its agencies corrupt or affect the administration, security, fairness or proper play or conduct of the Contest.

The Sponsor has the right to disqualify any Contest participant at any time during the Contest for any reason, including engaging in behavior or conduct which the Sponsor deems to be inappropriate.

Sponsor assumes no responsibility for any third party's failure to act in accordance with Sponsor's instructions pertaining to the implementation of this Contest.

By entering this Contest you give your consent for Sponsor to deliver your entry material and/or personal information to RMA and/or other contest administrators as required for the purpose of administering the Contest. Only Sponsor, RMA and such other contest administrators will have access to the personal information. Information will be used in accordance with Sponsor's online privacy policy. WHO WON: The winning comedy routines from the Pet Comedy Challenge Finals in St. Louis, MO, will be posted online on or about May 26, 2008.
